1. Acceptance of Terms

Welcome to Shiplist! These Terms of Service ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and Shiplist ("we", "us", or "our") governing your use of the Shiplist product roadmap platform available at shiplist.app (the "Service").

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

Age Requirement: You must be at least 16 years old to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

Effective Date: These Terms become effective on the date you first access or use the Service.

2. Description of Service

Shiplist is a product roadmap management platform that enables users to:

  • Create and manage public or private product roadmaps
  • Collect and organize user feedback and ideas
  • Enable voting on features and ideas
  • Publish product announcements
  • Analyze feedback with AI-powered tools
  • Collaborate with team members and organizations
  • Embed roadmaps on external websites
  • Service Availability:

  • The Service is provided "as is" and "as available"
  • We do not guarantee 100% uptime or uninterrupted access
  • We may modify, suspend, or discontinue features at any time
  • We will provide advance notice for planned maintenance when possible
  • Service Plans:

  • Free Plan: Limited features with usage restrictions
  • Pro Plan: Enhanced features for individuals and small teams (€9/month)
  • Team Plan: Advanced features for larger organizations (€29/month - Coming Soon)

    3. Account Registration and Security

    Creating an Account:

  • You must provide accurate, current, and complete information
  • You must maintain and update your account information
  • One account per person; corporate accounts for organizations
  • You are responsible for maintaining the confidentiality of your password
  • Account Security:

  • You are solely responsible for all activities under your account
  • You must immediately notify us of unauthorized access: info@shiplist.app
  • We are not liable for losses resulting from unauthorized use of your account
  • You must not share your account credentials with others
  • Account Termination by Us:

    We may suspend or terminate your account if:

  • You violate these Terms
  • You engage in fraudulent or illegal activity
  • Your account is inactive for an extended period
  • We are required to do so by law
  • We discontinue the Service
  • We will provide notice when possible, except in cases of serious violations or legal requirements.

    4. Subscription Plans and Payments

    Free Plan:

  • Available indefinitely at no cost
  • Subject to usage limits (1 roadmap, 20 features, 500 votes/month)
  • May be modified or discontinued with notice
  • Paid Plans (Pro and Team):

  • Billed monthly or annually (when available)
  • Prices displayed on pricing page in Euros (€)
  • Automatic renewal unless canceled
  • Subscription starts immediately upon payment
  • Billing:

  • Payments processed securely via Stripe
  • Billing date: Date of initial subscription
  • Automatic renewal: Your payment method will be charged automatically
  • Failed payments: We will retry; your account may be suspended after 7 days
  • Taxes: You are responsible for applicable taxes
  • Plan Changes:

  • Upgrades: Take effect immediately; prorated charge for current period
  • Downgrades: Take effect at next billing cycle
  • Free to Paid: Immediate upgrade upon payment
  • Paid to Free: Downgrade at end of billing period; excess content may be restricted
  • Subscription Management:

  • Manage your subscription via Settings > Billing
  • Customer portal powered by Stripe for payment methods and invoices
  • 5. Payment Terms and Refunds

    Payment Methods:

  • Credit cards and debit cards via Stripe
  • Additional payment methods may be added in the future
  • Pricing:

  • Prices are subject to change with 30 days notice
  • Existing subscribers: Price changes apply at next renewal
  • New subscribers: Current pricing applies
  • Refund Policy:

  • No refunds for partial months or billing periods
  • Cancellations: You retain access until end of paid period
  • Exceptions: Refunds may be issued at our discretion for technical issues or errors

  • Failed Payments:

  • We will attempt to re-charge failed payments
  • After 7 days of failed payments, your account may be suspended
  • After 30 days, your account may be downgraded to Free or deleted
  • You will receive email notifications before any action is taken
  • 6. Cancellation and Termination

    Cancellation by You:

  • Cancel anytime via Settings > Billing
  • No cancellation fees or penalties
  • Access continues until end of billing period
  • No refunds for remaining time in billing period
  • Data remains accessible for 30 days after cancellation
  • You can reactivate within 30 days without data loss
  • Termination by Us:

    We may terminate your account for:

  • Violation of these Terms
  • Fraudulent activity or payment disputes
  • Abusive behavior toward other users or staff
  • Illegal use of the Service
  • Non-payment (after grace period)
  • Notice: We will provide 7 days notice when possible, except for serious violations.

    Effect of Termination:

  • Immediate loss of access to paid features
  • Data may be deleted 30 days after termination
  • You may export your data before termination (Settings > Privacy)
  • Outstanding payments remain due
  • Termination does not affect clauses that survive termination (see Section 17)
  • 7. User Responsibilities and Acceptable Use

    You Agree To:

  • Provide accurate account information
  • Comply with all applicable laws and regulations
  • Respect intellectual property rights of others
  • Use the Service for legitimate business purposes
  • Keep your account credentials secure
  • Report bugs and security vulnerabilities responsibly
  • Prohibited Activities:

    You may NOT:

  • Violate laws or regulations
  • Infringe intellectual property rights
  • Upload malicious code (viruses, malware, trojans)
  • Harass, threaten, or abuse other users
  • Spam or send unsolicited messages
  • Scrape or use automated tools to access the Service
  • Reverse engineer or decompile the Service
  • Circumvent security features or access controls
  • Overload or interfere with Service infrastructure (DDoS)
  • Impersonate others or misrepresent affiliation
  • Share accounts or login credentials
  • Use the Service for illegal purposes
  • Post inappropriate, offensive, or harmful content
  • Violate privacy rights of others
  • Bypass rate limits or usage restrictions
  • Consequences of Violations:

  • Account suspension or termination
  • Removal of content
  • Legal action if necessary
  • No refunds for violations
  • 8. User Content and Intellectual Property

    Your Content:

    "User Content" includes all data, text, images, and materials you upload, submit, or create using the Service (roadmaps, ideas, comments, announcements, etc.).

    Ownership:

  • You retain full ownership of your User Content
  • You retain all intellectual property rights to your content
  • We do not claim ownership of your User Content
  • License to Shiplist:

    You grant us a limited, worldwide, non-exclusive, royalty-free license to:

  • Host, store, and display your User Content
  • Process your content for AI features (categorization, sentiment analysis, etc.)
  • Create backups for data integrity
  • Display on public roadmaps (if you choose "Public" visibility)
  • Optimize and distribute content for performance (CDN)
  • License Termination: This license ends when you delete your content or account.

    Your Responsibilities:

    You represent and warrant that:

  • You own or have rights to all User Content you upload
  • Your User Content does not infringe third-party rights
  • You have consent to upload personal data of others
  • Your content complies with these Terms and applicable laws
  • Content Moderation:

  • We may (but are not obligated to) monitor User Content
  • We may remove content that violates these Terms
  • We may remove content if required by law
  • You are solely responsible for your User Content
  • Public Content:

    If you make a roadmap "Public":

  • Anyone with the link can view it
  • Search engines may index it
  • Users can vote and comment (if enabled)
  • You can change visibility to "Private" at any time
  • 9. Shiplist Intellectual Property

    Ownership:

    The Service, including all software, features, design, branding, and documentation, is owned by Shiplist and protected by copyright, trademark, and other intellectual property laws.

    Trademarks:

    "Shiplist", the Shiplist logo, and other marks are trademarks of Shiplist. You may not use them without written permission.

    License to Use Service:

    We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose, subject to these Terms.

    Restrictions:

    You may NOT:

  • Copy, modify, or create derivative works of the Service
  • Sell, rent, or license the Service to third parties
  • Reverse engineer or decompile the Service
  • Remove copyright or proprietary notices
  • Use our trademarks without permission
  • AI-Generated Content:

    Content generated by AI features (categorizations, summaries, etc.) is provided to you for use within the Service. You may use it for your roadmaps and business purposes.

    10. Privacy and Data Protection

    Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your personal data.

    Key Points:

  • We collect account information, usage data, and payment data
  • We use third-party services (Firebase, Stripe, OpenAI, Resend)
  • We comply with GDPR, CCPA, and other privacy laws
  • You have rights to access, rectify, delete, and export your data
  • Your Consent:

    By using the Service, you consent to data collection and processing as described in the Privacy Policy.

    GDPR Rights:

    If you are in the EU/EEA:

  • Right to access your data (Settings > Privacy > Download Data)
  • Right to delete your account (Settings > Danger Zone)
  • Right to object to processing (Settings > Privacy)
  • Right to lodge complaints with supervisory authorities

    11. Service Availability and Modifications

    No Uptime Guarantee:

  • We strive for high availability but do not guarantee 100% uptime
  • Service may be unavailable due to maintenance, technical issues, or force majeure
  • We will provide advance notice for planned maintenance when possible
  • Service Modifications:

    We reserve the right to:

  • Modify, add, or remove features
  • Change the Service architecture or design
  • Update pricing (with 30 days notice for existing subscribers)
  • Discontinue features or the entire Service (with 90 days notice)
  • Beta Features:

  • Some features may be labeled "Beta" or "Experimental"
  • Beta features are provided "as is" without warranties
  • We may discontinue beta features without notice
  • Your feedback on beta features is appreciated
  • Third-Party Dependencies:

    The Service relies on third-party providers (Firebase, Stripe, OpenAI). We are not responsible for their downtime or service changes.

    12. Limitation of Liability and Disclaimers

    **SERVICE PROVIDED "AS IS"**:

    THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of content
  • Uninterrupted or error-free operation
  • **LIMITATION OF LIABILITY**:

    TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • Maximum Liability: Our total liability is limited to the amount you paid us in the 12 months preceding the claim
  • For Free Users: Maximum liability is €100
  • **EXCLUDED DAMAGES**:

    WE ARE NOT LIABLE FOR:

  • Indirect, incidental, or consequential damages
  • Loss of profits, revenue, or business opportunities
  • Loss of data (you must maintain backups!)
  • Loss of goodwill or reputation
  • Service interruptions or downtime
  • Third-party actions (Stripe, Firebase, OpenAI)
  • User Content or actions of other users
  • Unauthorized access to your account (if due to your negligence)
  • Jurisdictional Limitations:

    Some jurisdictions do not allow limitation of liability for certain damages. In such cases, our liability is limited to the maximum extent permitted by law.

    Exception:

    These limitations do not apply to liability for death or personal injury caused by our negligence, fraud, or other liabilities that cannot be excluded by law.

    13. Indemnification

    You agree to indemnify, defend, and hold harmless Shiplist, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use or misuse of the Service
  • Your User Content
  • Your violation of these Terms
  • Your violation of any third-party rights (intellectual property, privacy, etc.)
  • Your violation of applicable laws or regulations
  • Disputes between you and other users
  • We reserve the right to assume exclusive defense and control of any matter subject to indemnification. You agree to cooperate with our defense of such claims.

    14. Dispute Resolution and Governing Law

    Governing Law:

    These Terms are governed by the laws of Italy, without regard to conflict of law principles.

    Jurisdiction:

    Any disputes arising from these Terms or the Service shall be subject to the exclusive jurisdiction of the competent courts of Italy.

    Informal Resolution:

    Before filing a legal claim, you agree to attempt to resolve disputes informally by contacting us at info@shiplist.app. We will attempt to resolve the issue within 30 days.

    EU Users:

    Nothing in this section affects your rights as a consumer under EU law, including your right to bring proceedings in the courts of your country of residence.

    Class Action Waiver:

    You agree to resolve disputes individually, not as part of a class action or collective proceeding.

    EU Users:

    If you are in the EU, you may have additional rights under EU consumer protection laws.

    15. Export Controls and Compliance

    You agree to comply with all applicable export control laws and regulations, including those of the United States and European Union.

    You represent that you are not:

  • Located in a country subject to a U.S. or EU embargo
  • Listed on any government restricted parties list
  • Prohibited from receiving products or services under applicable laws
  • You will not use the Service for any prohibited purposes, including development of weapons or other illegal activities.

    16. Third-Party Services and Links

    Third-Party Integrations:

    The Service uses third-party services:

  • Firebase (Google): Hosting, database, authentication
  • Stripe: Payment processing
  • OpenAI: AI features
  • Resend: Email delivery
  • Your use of these services is subject to their respective terms and privacy policies. We are not responsible for third-party services.

    External Links:

    The Service may contain links to external websites. We do not control or endorse third-party websites and are not responsible for their content or practices.

    No Endorsement:

    Inclusion of third-party links does not imply endorsement or affiliation.

    17. Miscellaneous Provisions

    Entire Agreement:

    These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and Shiplist regarding the Service.

    Severability:

    If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions remain in full effect.

    No Waiver:

    Our failure to enforce any provision does not constitute a waiver of that provision or any other provision.

    Assignment:

  • You may not assign or transfer these Terms or your account without our consent
  • We may assign these Terms in connection with a merger, acquisition, or sale of assets
  • Force Majeure:

    We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, wars, pandemics, government actions, etc.).

    Survival:

    The following sections survive termination: User Content (ownership), Intellectual Property, Limitation of Liability, Indemnification, Dispute Resolution, and Miscellaneous.

    Language:

    These Terms are written in English. Translations may be provided for convenience, but the English version governs in case of conflicts.

    18. Changes to These Terms

    We may modify these Terms from time to time to reflect changes in the Service, legal requirements, or business practices.

    Notification:

  • Material changes: We will notify you via email and/or prominent notice on the Service at least 30 days before changes take effect
  • Minor changes: Updated "Last Updated" date; continued use constitutes acceptance
  • Your Options:

    If you do not agree with changes:

  • Stop using the Service before changes take effect
  • Cancel your subscription (Settings > Billing)
  • Delete your account (Settings > Danger Zone)
  • Acceptance:

    Continued use of the Service after changes constitutes acceptance of the new Terms.
